Terms of Service

1. Acceptance of Terms

By accessing or using Saymatic ("the Platform") at saymatic.shop, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to these terms, please do not use the Platform.

Saymatic is operated by Dhani Marketing Services (Registration: M22511MAA8DWW).

2. Description of Service

Saymatic is a WhatsApp Business SaaS Platform that enables businesses to manage customer communications via the official Meta WhatsApp Cloud API. Features include bulk messaging/broadcasts, live chat inbox, no-code chatbot automation, contact management, analytics, ads manager, and commerce/catalog tools.

The Platform is delivered digitally over the internet. Access is granted immediately upon successful subscription payment.

3. Account Registration

To use Saymatic, you must register for an account by providing accurate and complete information including your business name, email address, and phone number. You agree to:

  • Provide truthful, current, and complete registration information
  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activity that occurs under your account

4. Subscription and Billing

Saymatic does not offer a free trial. Access to the Platform requires an active paid subscription. By subscribing:

  • You authorize us to charge your selected payment method for the chosen billing cycle (monthly, quarterly, or yearly)
  • Subscription fees are collected in advance and are non-refundable except as described in our Refund Policy
  • We reserve the right to modify pricing with 30 days' prior notice
  • Payments are processed via PhonePe Payment Gateway in Indian Rupees (INR)

5. WhatsApp and Meta Compliance

By using Saymatic, you agree to comply with all of the following at all times:

  • Meta's WhatsApp Business Policy
  • Meta's Terms of Service and Acceptable Use Policy
  • WhatsApp Commerce Policy
  • All applicable local laws, including the Information Technology Act, 2000 (India), and applicable data protection laws

You are solely responsible for the content of messages sent through the Platform and for obtaining valid opt-in consent from all recipients before sending them messages.

6. Prohibited Uses

You may not use Saymatic to:

  • Send spam, unsolicited messages, or bulk messages to users who have not opted in
  • Distribute illegal, harmful, threatening, abusive, defamatory, or fraudulent content
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with or disrupt the Platform, its servers, or networks
  • Attempt to gain unauthorized access to any part of the Platform or other users' accounts
  • Reverse engineer, decompile, or extract the source code of the Platform
  • Resell, sublicense, or white-label the Platform without our prior written consent

Violation of these terms may result in immediate account suspension without refund.

7. Intellectual Property

All content, features, and functionality of the Platform — including software, code, design, text, graphics, and logos — are owned by Saymatic / Dhani Marketing Services and protected by applicable intellectual property laws.

You retain full ownership of the data and content you upload to the Platform (contacts, messages, templates, etc.). You grant us a limited licence to process this data solely for the purpose of providing the service.

8. Data and Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Saymatic, you consent to the collection and use of your information as described in the Privacy Policy.

9. Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance, updates, or third-party outages (including Meta WhatsApp API) may cause temporary unavailability. We are not liable for any loss resulting from service interruptions outside our control.

Support is provided via email at support@saymatic.shop. Response times vary by plan tier.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Saymatic and Dhani Marketing Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

  • Loss of data, revenue, or profits
  • Meta WhatsApp API downtime or policy changes
  • Unauthorized access to your account

Our total aggregate liability shall not exceed the amount paid by you in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Saymatic and Dhani Marketing Services from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your account immediately, without notice or refund, if you violate these Terms. You may cancel your account at any time by contacting support@saymatic.shop. Refer to our Refund & Cancellation Policy for details on what happens upon cancellation.

13. Changes to Terms

We may update these Terms of Service at any time. We will notify registered users of material changes via email or an in-app notice. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of competent courts in India.
